Terms and Conditions of Sale

These Terms and Conditions apply to all quotations, orders, sales, deliveries, installations and services supplied by CKJ CNC Ltd (“CKJ CNC”, “we”, “our” or “us”) unless otherwise agreed in writing.

1. Definitions

Customer means the individual, company or organisation purchasing goods or services from CKJ CNC Ltd.

Goods means all machinery, accessories, software, spare parts and equipment supplied by CKJ CNC Ltd.

Services means installation, commissioning, servicing, maintenance, repairs, training, technical support and any other work carried out by CKJ CNC Ltd.

2. Acceptance of Orders

2.1 All quotations are valid for 30 days unless otherwise stated.

2.2 A contract is formed only when CKJ CNC issues written acceptance of the Customer’s order.

2.3 These Terms prevail over any terms proposed by the Customer unless expressly agreed in writing.

2.4 CKJ CNC reserves the right to refuse any order.

3. Prices

3.1 Prices are exclusive of VAT unless stated otherwise.

3.2 Delivery, installation, commissioning, unloading and any additional services will be charged separately unless specifically included within the quotation.

3.3 Prices may be amended prior to acceptance if manufacturer costs, exchange rates, shipping costs or taxation change.

4. Payment

4.1 Unless agreed otherwise:

• Deposit payable with order.
• Balance payable before delivery or installation.

4.2 Ownership of the Goods does not pass until full payment has been received.

4.3 Late payments will incur interest at 4% above the Bank of England base rate together with any reasonable debt recovery costs.

5. Retention of Title

5.1 Title remains with CKJ CNC until payment has been made in full.

5.2 Until ownership passes, the Customer shall:

• keep the Goods insured;
• store them separately where practical;
• not remove identification labels;
• permit CKJ CNC reasonable access to recover unpaid Goods.

6. Delivery

6.1 Delivery dates are estimates only.

6.2 CKJ CNC shall not be liable for delays outside its reasonable control.

6.3 Risk passes to the Customer upon delivery.

6.4 Unless expressly agreed, unloading equipment, lifting equipment, forklifts, cranes and labour remain the Customer’s responsibility.

7. Site Preparation

Before installation the Customer shall provide:

• adequate access;
• suitable foundations and floor loading;
• compliant electrical supplies;
• compressed air where required;
• suitable dust extraction;
• adequate lighting;
• internet connection where remote support is required;
• sufficient working space.

Failure to do so may result in aborted installation visits, which will be chargeable.

8. Electrical Installation

Electrical work must only be carried out by a qualified electrician.

CKJ CNC installation charges do not include electrical installation unless specifically stated.

Damage caused by incorrect electrical installation is excluded from warranty.

9. Installation and Commissioning

Where installation is included, CKJ CNC will:

• assemble the machine where applicable;
• commission the machine;
• verify normal operation;
• provide basic operator familiarisation.

Commissioning does not constitute a site-specific health and safety assessment.

10. Machine Safety

CKJ CNC supplies machinery in accordance with the agreed specification.

The Customer acknowledges that the final installation environment is outside the control of CKJ CNC.

The Customer shall carry out a suitable and sufficient risk assessment before the machine is placed into service.

Where the final installation identifies additional hazards, the Customer is responsible for implementing any additional safeguarding required for that installation unless expressly included within CKJ CNC’s quotation.

Such safeguarding may include:

• perimeter fencing;
• interlocked gates;
• light curtains;
• laser scanners;
• pressure-sensitive mats;
• additional emergency stop devices;
• warning systems;
• traffic segregation;
• pedestrian barriers.

Nothing within these Terms excludes CKJ CNC’s legal obligations relating to machinery supplied by us.

11. Customer Responsibilities

The Customer shall:

• operate machinery only by competent persons;
• comply with all applicable legislation;
• maintain all safety devices;
• ensure guards remain fitted;
• prevent unauthorised modifications;
• maintain suitable extraction equipment;
• ensure routine maintenance is completed.

12. Training

Operator training supplied by CKJ CNC provides familiarisation with machine operation only.

The Customer remains responsible for ensuring operators are adequately trained and supervised before independent use.

13. Warranty

Unless otherwise stated, new machinery carries a 12-month warranty from installation or delivery.

The warranty excludes:

• accidental damage;
• misuse;
• operator error;
• collision damage;
• incorrect electrical supply;
• consumable items;
• tooling;
• normal wear;
• software altered by third parties;
• damage caused by unauthorised repairs.

Repairs carried out by unauthorised persons may invalidate the warranty.

14. Used Machinery

Unless expressly stated otherwise, used machinery is supplied in its current condition.

Where refurbished machinery is sold with warranty, the warranty shall be limited to the terms stated within the quotation.

The Customer is responsible for ensuring any used machinery complies with workplace legislation before use.

15. Software

Software supplied remains subject to the manufacturer’s licence.

The Customer shall not copy, modify, reverse engineer or distribute software without permission.

16. Remote Support

Remote support is provided where reasonably possible.

CKJ CNC cannot guarantee uninterrupted internet connectivity or compatibility with customer IT systems.

17. Maintenance

Routine servicing in accordance with CKJ CNC recommendations is strongly advised.

Failure to maintain machinery may affect performance and warranty entitlement.

18. Inspection

The Customer shall inspect all Goods immediately upon delivery.

Any shortages, damage or defects shall be reported within three working days.

19. Returns

Returns require prior written approval.

Special order items and bespoke machinery are non-returnable unless defective.

Returned Goods must be unused and in resalable condition.

20. Cancellation

Orders for bespoke machinery cannot normally be cancelled once manufacturing has commenced.

Where cancellation is accepted, CKJ CNC reserves the right to recover all costs reasonably incurred together with any losses arising from the cancellation.

21. Limitation of Liability

Nothing within these Terms excludes or limits liability where such exclusion is prohibited by law, including liability for:

• death or personal injury caused by negligence;
• fraud or fraudulent misrepresentation.

Subject to the above, CKJ CNC’s total liability arising from any contract shall not exceed the purchase price paid for the Goods or Services giving rise to the claim.

CKJ CNC shall not be liable for:

• loss of profit;
• loss of production;
• loss of contracts;
• business interruption;
• indirect or consequential loss.

22. Force Majeure

CKJ CNC shall not be liable for delays or failure to perform caused by events beyond its reasonable control including, but not limited to:

• strikes;
• transport disruption;
• shortages of materials;
• natural disasters;
• fire;
• flood;
• pandemic;
• war;
• government restrictions.

23. Intellectual Property

All drawings, manuals, software, photographs, brochures and documentation remain the property of CKJ CNC or the relevant rights holder.

24. Privacy

Personal data shall be processed in accordance with applicable UK data protection legislation.

25. Governing Law

These Terms shall be governed by the laws of England and Wales.

Any dispute shall be subject to the exclusive jurisdiction of the courts of England and Wales.
